Terms of Service

1. Acceptance of Terms

By accessing or using services provided by Vellunox Technologies LLC ("Vellunox," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

2. Description of Services

Vellunox provides:

• Remote Monitoring & Management (RMM): System monitoring, patch management, security oversight
• Remote Access: Secure remote desktop connections via Vellunox Remote (RustDesk)
• Work From Home (WFH) Portal: Client access to remote workstations
• AI Operations: Automated IT management and support
• Managed Security: Antivirus, threat detection, compliance monitoring

3. Account Registration

3.1 Account Creation

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials.

3.2 Account Security

• Use strong, unique passwords
• Enable two-factor authentication (2FA) when available
• Notify us immediately of any unauthorized access
• You are responsible for all activity under your account

4. Authorized Use

4.1 You May:

• Use services for legitimate business purposes
• Access computers and systems you own or have authorization to manage
• Grant access to authorized employees and contractors

4.2 You May NOT:

• Access systems without authorization
• Use services for illegal activities
• Attempt to bypass security measures
• Distribute malware or harmful content
• Resell services without written agreement
• Interfere with service operations

5. Payment Terms

5.1 Billing

• Subscription fees are billed in advance (monthly or annually)
• Prices are subject to change with 30 days notice
• All fees are non-refundable unless otherwise stated

5.2 Late Payment

Accounts with overdue payments may be suspended. We reserve the right to charge late fees of 1.5% per month on outstanding balances.

6. Service Level Agreement

We strive for 99.9% uptime. In the event of extended outages:

• We will provide status updates via status.vellunox.com
• Service credits may be issued for outages exceeding 4 hours
• Scheduled maintenance will be announced in advance

7. Data Ownership

• Your Data: You retain all rights to your data. We do not claim ownership.
• Our Data: We own all service-generated data, analytics, and improvements.
• Backups: You are responsible for maintaining your own backups.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our liability is limited to the fees paid in the 12 months preceding any claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for data loss, business interruption, or lost profits
• Services are provided "AS IS" without warranties of merchantability or fitness

9. Indemnification

You agree to indemnify and hold Vellunox harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your misuse of services
• Your violation of any third-party rights

10. Termination

10.1 By You

You may cancel your account at any time. No refunds for partial billing periods.

10.2 By Us

We may suspend or terminate accounts for:

• Violation of these Terms
• Non-payment
• Illegal activity
• At our discretion with 30 days notice

11. Dispute Resolution

Any disputes shall be resolved through:

1. Good faith negotiation (30 days)
2. Binding arbitration under AAA Commercial Rules
3. Venue: State of incorporation

Class action waiver: You agree to resolve disputes individually, not as part of a class action.

12. Governing Law

These Terms are governed by the laws of the United States and the state of our principal place of business, without regard to conflict of law principles.

13. Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email.
